Backing a first-time buyer to 100% LTV, then fighting for two separate price reductions

No prior experience buying a practice doesn’t mean no leverage. It just means you need someone negotiating who has both.

A first-time buyer acquired their first dental practice, goodwill and freehold combined, for approximately £1,050,000. We secured 100% LTV through Lloyds with no personal deposit, then negotiated a further £100,000 reduction on the freehold price and a separate reduction on the goodwill. The transaction completed in six months.

The Situation

A first-time buyer wanted to acquire their first dental practice outright, goodwill and freehold combined, in a deal totalling approximately £1,050,000. Having no prior acquisition experience of their own, they needed more than just a loan, they needed negotiation support and professional guidance through every stage of what is, for anyone doing it for the first time, a genuinely complex transaction with several parties and moving parts to manage at once.

What We Did

We took the deal to the whole market rather than accepting the first offer, presenting the client with a range of competitive terms to compare side by side. Lloyds Banking Group came out on top, offering the strongest rates and 100% loan-to-value, meaning the client needed no personal deposit to complete the purchase, a genuinely significant outcome for a first-time buyer without an existing property to draw equity from.

That was only the start of the real work. The freehold valuation came back approximately £100,000 under the asking price, a shortfall that would normally land squarely on the buyer to cover out of their own pocket. We supported the negotiation directly, and the seller ultimately agreed to reduce the price, closing that gap entirely rather than leaving the client to absorb it or find additional funds at short notice.

On the goodwill side, Arun Mehra FCA’s own experience in the dental market helped push the price down further still. And in the Share Purchase Agreement, the directors’ loan accounts became a protracted point of negotiation, with Natasha Gnanapragasam in our accountancy team working directly with the solicitors to get the position resolved and the transaction over the line, rather than letting it become a separate source of delay on top of everything else.

The Result

The transaction completed in six months. The client acquired their first dental practice, goodwill and freehold together, at 100% LTV with no deposit required, secured a freehold price reduction of approximately £100,000, and achieved a further reduction on the goodwill price through direct negotiation.

A first-time buyer who backed themselves through a genuinely complex process now owns the practice they set out to buy, at a materially better price than the one first put on the table, on every element of the deal, and with the accountancy side of the transaction handled alongside the finance rather than left to sort out separately.
