When the deal can’t move until the NHS contract does

Sometimes the biggest obstacle to buying a practice has nothing to do with money, and nothing a broker can fix directly either.

A West Midlands dentist’s acquisition, over £1 million, stalled when an NHS contract needed renegotiating between buyer and seller before CQC registration could proceed. There was no finance action to take, so we stayed closely engaged and kept the funding ready. The deal completed once contract terms were agreed.

The Situation

A dentist in the West Midlands was well into acquiring an established practice, goodwill and freehold together, when the deal hit a wall that had nothing to do with funding. A portion of the practice’s NHS contract needed to be renegotiated between the buyer and the outgoing owner before ownership could actually transfer, a step that has to happen at practice level regardless of how ready the finance behind the deal is.

That created a genuine bottleneck. CQC registration, a step that has to happen before any dental acquisition can complete, couldn’t move forward until the NHS contract terms were settled. Two parties with slightly different interests needed to agree on how that contract carried over, and until they did, the entire acquisition was effectively frozen, regardless of how ready the finance was or how eager the buyer was to press ahead.

For a buyer who has already committed emotionally and financially to a specific practice, this kind of pause is one of the harder parts of the process. Everything is agreed except the one thing that isn’t, and there’s no real way to force it along faster than the two parties are willing to move, no matter how much the buyer might want to accelerate things themselves.

What We Did

There wasn’t a finance lever to pull here, the negotiation was between the client and the outgoing owner, not something a broker could resolve directly. What we could do, and did, was stay closely engaged with the situation throughout. We kept communication active, made sure the client understood where things stood at each stage rather than being left to guess, and kept the finance side fully prepared and ready to move the moment the contract terms were settled, so no further delay would be added once the real obstacle finally cleared.

That mattered more than it might sound. A client left in the dark during a stalled negotiation tends to assume the worst, that the deal is dying rather than just paused, and that uncertainty can affect decisions elsewhere in their life that are contingent on the acquisition completing. Staying visibly engaged, even when there was nothing to actively do on the finance side, meant the client wasn’t managing that uncertainty alone.

The Result

Once terms on the NHS contract were agreed between the parties, the deal moved forward quickly. We secured over £1 million to complete the acquisition, and the practice transferred with CQC registration cleared and the contract issue fully resolved, with no further delay introduced by the finance side of the transaction.

The wider lesson: not every delay in an acquisition is a finance problem, and not every finance broker’s job stops at arranging the money. Sometimes the most useful thing is staying close enough to a stalled negotiation that the client isn’t navigating it alone, and being ready to move the instant the real obstacle clears, rather than needing to restart the finance conversation from scratch once it does.
